1. INTRODUCTION AND ACCEPTANCE OF TERMS
1.1 About These Terms
These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User”, “you”, or “your”) and TorabiSignals Ltd, a company registered in England and Wales (Company Number: 14652669) with its registered office at Kingston upon Hull, United Kingdom (“TorabiSignals”, “we”, “us”, or “our”).
These Terms govern your access to and use of the TorabiSignals platform, including our website, mobile applications (iOS and Android), smartwatch applications (Wear OS and watchOS), web dashboards, and any related services (collectively, the “Service”).
1.2 Acceptance of Terms
By accessing or using the Service, you confirm that: (a) you have read and understood these Terms; (b) you agree to be bound by these Terms; (c) you are at least 18 years of age or have obtained parental or guardian consent; and (d) you have the legal capacity to enter into this agreement.
If you do not agree to these Terms, you must not access or use the Service. Your continued use of the Service following any changes to these Terms constitutes acceptance of those changes.
1.3 Additional Agreements
These Terms incorporate by reference our Privacy Policy, Cookie Policy, and Acceptable Use Policy. For hospital and enterprise users, separate Service Level Agreements and Business Associate Agreements may apply and shall take precedence in case of conflict.
2. SERVICE DESCRIPTION
2.1 Overview of TorabiSignals
TorabiSignals is an AI-powered cardiovascular signal analysis platform that analyses electrocardiogram (ECG) and photoplethysmography (PPG) signals from compatible wearable devices. The Service provides: real-time heart rate monitoring and tracking; AI-powered signal analysis for detection of potential cardiac irregularities including atrial fibrillation (AFib), premature ventricular contractions (PVCs), Bigeminy PVC, Trigeminy PVC, Quadrigeminy PVC, tachycardia, and bradycardia; generation of analysis reports and visualisations; and data synchronisation across devices.
2.2 Signal Analysis Only
IMPORTANT: TorabiSignals is a signal analysis service only. We analyse the ECG and PPG signals you submit and return analysis results. We do not store your raw signal data permanently. All data processed through our system is hashed and anonymised. We do not collect, store, or process any personally identifiable health information beyond what is strictly necessary to perform the signal analysis. Once analysis is complete, raw signal data is immediately discarded from our systems.
2.3 Service Tiers and Pricing
The Service is offered in various subscription tiers for individual consumers, healthcare professionals, and hospital/enterprise clients. Current pricing and detailed feature comparisons for all subscription plans are available on our pricing page within the dashboard at app.torabisignals.com/pricing. Pricing may be updated from time to time, and the most current pricing will always be displayed on the dashboard before any purchase or subscription renewal.
2.4 Important Limitations
THE SERVICE IS INTENDED FOR WELLNESS AND PERSONAL HEALTH MONITORING PURPOSES ONLY. TorabiSignals is not a registered medical device in the United Kingdom and has not received UKCA marking or approval from the Medicines and Healthcare products Regulatory Agency (MHRA) for clinical diagnostic use. The analysis provided should not be used to diagnose, treat, cure, or prevent any disease or medical condition. Results are for informational purposes only and do not constitute medical advice.
3. USER ACCOUNTS AND REGISTRATION
3.1 Account Creation
To access certain features of the Service, you must create an account. You agree to: provide accurate, current, and complete information during registration; maintain and promptly update your account information; maintain the security and confidentiality of your login credentials; accept responsibility for all activities that occur under your account; and notify us immediately of any unauthorised use of your account.
3.2 Account Types
The Service offers different account types: Patient accounts for individual users monitoring their own health; Clinician accounts for registered healthcare professionals accessing patient data with consent; Researcher accounts for approved academic and clinical research purposes; and Hospital Administrator accounts for organisations managing multiple users and devices.
3.3 Age Requirements
The Service is intended for users aged 18 years and over. Users between 13 and 17 years may use the Service only with verified parental or guardian consent. We do not knowingly collect data from children under 13 years of age. If we become aware that we have collected personal data from a child under 13, we will take steps to delete such information.
4. YOUR CONSUMER RIGHTS UNDER UK LAW
4.1 Consumer Rights Act 2015
If you are a consumer (an individual acting for purposes wholly or mainly outside your trade, business, craft, or profession), you have statutory rights under the Consumer Rights Act 2015 (“CRA 2015”). Nothing in these Terms affects your statutory rights. The Service constitutes “digital content” under the CRA 2015, which means it must be: of satisfactory quality; fit for a particular purpose; and as described.
4.2 Your Statutory Remedies
If the digital content does not meet the standards set out above, you may be entitled to: repair or replacement of the digital content; a price reduction; or a refund (where repair or replacement is not possible or does not resolve the issue). You have up to six years from the date of supply to bring a claim for breach of contract (five years in Scotland).
4.3 Cancellation Rights
Under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013, you have the right to cancel a contract for digital content within 14 days of purchase without giving any reason. However, you may lose this right if you begin downloading or streaming digital content before the cancellation period ends and you have given your express consent and acknowledged that you will lose your right to cancel.
4.4 How to Exercise Your Rights
To exercise your consumer rights, please contact us at info@torabisignals.com or write to us at our registered address. We will respond to any complaint within 14 days. If you are not satisfied with our response, you may refer the matter to an approved Alternative Dispute Resolution (ADR) provider or the courts.
5. SUBSCRIPTIONS, PAYMENTS, AND BILLING
5.1 Subscription Plans
Paid features of the Service are offered on a subscription basis. Current pricing for all subscription tiers, including individual consumer plans and hospital/enterprise licenses, is available on the pricing page within your dashboard. All prices displayed include VAT where applicable. We reserve the right to change pricing with at least 30 days’ notice. Any price changes will be clearly communicated and displayed on the dashboard before taking effect.
5.2 Payment Terms
Payments are processed through our third-party payment provider, Stripe. By providing payment information, you authorise us to charge the applicable fees to your chosen payment method. Subscriptions automatically renew unless cancelled before the renewal date. Failed payments may result in suspension of access to premium features.
5.3 Refund Policy
In addition to your statutory cancellation rights under Section 4.3, we offer: a 14-day money-back guarantee for new subscribers who are not satisfied with the Service; pro-rata refunds for annual subscriptions cancelled within the first 30 days; and no refunds for partial billing periods after 30 days, except where required by law. 6. DATA PROTECTION AND PRIVACY
6.1 Data Controller
TorabiSignals Ltd is the data controller for personal data processed in connection with the Service. We are registered with the Information Commissioner’s Office (ICO) under registration number [To Be Assigned].
6.2 Legal Framework
We process your personal data in accordance with the UK General Data Protection Regulation (UK GDPR), the Data Protection Act 2018 (DPA 2018), and the EU General Data Protection Regulation (GDPR) where applicable to EU users. We are committed to full compliance with both UK and EU data protection requirements.
6.3 Our Data Minimisation Approach
DATA PROTECTION BY DESIGN: TorabiSignals operates on a strict data minimisation principle. We are a signal analysis service only — we analyse the ECG/PPG signals you submit and return results. We implement the following privacy-preserving measures:
• Hashed Data: All signal data processed through our systems is cryptographically hashed and anonymised. Raw signal data cannot be reconstructed from the hashed values.
• No Sensitive Data Storage: We do not permanently store sensitive health information. Signal data is processed in real-time and immediately discarded after analysis is complete.
• Minimal Account Data: We only collect the minimum account information necessary to provide the Service (email address for authentication and communication).
• Analysis Results Only: You may choose to save your analysis results within the Service, but we never retain the underlying raw signal data.
6.4 Lawful Basis for Processing
We process your personal data on the following lawful bases: Contract performance (Article 6(1)(b) UK GDPR / EU GDPR) for providing the signal analysis service you have requested; Explicit consent (Article 9(2)(a)) where required for any health-related data that you voluntarily choose to store; Legitimate interests (Article 6(1)(f)) for improving our Service, fraud prevention, and security; and Legal obligation (Article 6(1)(c)) for compliance with applicable laws and regulations.
6.5 Your Data Rights
Under the UK GDPR and EU GDPR, you have the right to: access your personal data; rectification of inaccurate data; erasure (“right to be forgotten”); restriction of processing; data portability; object to processing; and not be subject to automated decision-making. 6.6 Data Security
We implement appropriate technical and organisational measures to protect your data, including: AES-256 encryption for data at rest; TLS 1.3 encryption for data in transit; cryptographic hashing of all signal data; role-based access controls; regular security audits and penetration testing; incident response procedures; and staff training on data protection. 6.7 International Data Transfers
Where we transfer personal data outside the UK or European Economic Area, we ensure appropriate safeguards are in place in accordance with Chapter V of the UK GDPR and EU GDPR, such as Standard Contractual Clauses approved by the European Commission and the UK Information Commissioner’s Office.
7. INTELLECTUAL PROPERTY RIGHTS
7.1 Our Intellectual Property
The Service, including all software, algorithms, machine learning models, content, trademarks, and other intellectual property, is owned by TorabiSignals Ltd or its licensors and is protected by UK and international intellectual property laws. The TorabiSignals name, logo, and related marks are trademarks of TorabiSignals Ltd.
7.2 Your License to Use the Service
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your personal, non-commercial use (or for internal business purposes if you are a hospital or enterprise subscriber). This licence does not include any right to: copy, modify, or distribute the Service; reverse engineer, decompile, or disassemble any software; remove any proprietary notices; or use the Service to develop competing products.
7.3 Your Data
You retain ownership of any analysis results you choose to save within the Service. By using the Service, you grant us a limited licence to process your signal data solely for the purpose of providing the analysis service. As stated in Section 6.3, we do not retain your raw signal data after analysis is complete.
8. LIMITATION OF LIABILITY
8.1 What We Do Not Exclude
Nothing in these Terms excludes or limits our liability for: death or personal injury caused by our negligence; fraud or fraudulent misrepresentation; any breach of the terms implied by section 12 of the Sale of Goods Act 1979 (title and quiet possession); any breach of the terms implied by sections 3, 4 and 5 of the Supply of Goods and Services Act 1982 (description, satisfactory quality, fitness for purpose); defective products under the Consumer Protection Act 1987; or any other liability that cannot be excluded or limited by applicable law.
8.2 Consumer Users
If you are a consumer, our liability to you is limited to the greater of: (a) the total fees paid by you in the 12 months preceding the claim; or (b) £1,000. This limitation applies to all claims in aggregate, whether in contract, tort (including negligence), or otherwise.
8.3 Business Users
If you are a business user, to the fullest extent permitted by law: we exclude all implied conditions, warranties, representations or other terms; we shall not be liable for any indirect, consequential, special, or punitive damages; and our total liability shall not exceed 100% of the fees paid by you in the 12 months preceding the claim. These limitations are reasonable given the nature of the Service, the risks involved, and the pricing structure.
8.4 Medical Disclaimer
WE EXPRESSLY DISCLAIM ANY LIABILITY FOR: (a) any decisions made or actions taken based on information provided by the Service; (b) any delays in seeking professional medical advice; (c) failure of the Service to detect any cardiac condition; (d) false positive or false negative results; or (e) any harm arising from reliance on the Service for medical diagnosis or treatment. The Service provides signal analysis only and achieves approximately 94% accuracy in arrhythmia detection, which means false results can occur.
9. INDEMNIFICATION
If you are a business user, you agree to indemnify, defend, and hold harmless TorabiSignals Ltd, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with: your access to or use of the Service; your violation of these Terms; your violation of any third-party rights; or any content you submit to the Service. This indemnification obligation does not apply to consumer users.
10. ACCEPTABLE USE POLICY
10.1 Prohibited Activities
You agree not to: use the Service for any unlawful purpose or in violation of any applicable law; attempt to gain unauthorised access to any part of the Service; interfere with or disrupt the Service or servers; upload malicious code or attempt to breach security measures; impersonate another person or entity; use automated systems to access the Service without permission; sell, resell, or commercially exploit the Service without authorisation; use the Service to collect data about other users; or circumvent any access restrictions or usage limits.
10.2 Consequences of Breach
We reserve the right to suspend or terminate your account and access to the Service immediately if we reasonably believe you have breached these Terms. We may also cooperate with law enforcement authorities where required.
11. TERMINATION
11.1 Termination by You
You may terminate your account at any time by: cancelling your subscription through your account settings; contacting us at info@torabisignals.com; or deleting your account. Upon termination, your right to use the Service will cease immediately. Your statutory cancellation rights under Section 4.3 are unaffected.
11.2 Termination by Us
We may terminate or suspend your access to the Service: immediately for breach of these Terms or suspected illegal activity; upon 30 days’ notice if we discontinue the Service; or if required by law or regulatory authority. We will provide reasonable notice where practicable.
11.3 Effect of Termination
Upon termination: all licences granted to you will terminate; you may request a copy of your saved analysis results (within 30 days) or request their deletion; as we do not store raw signal data, there is no such data to delete; and any provisions that by their nature should survive termination (such as liability limitations and governing law) shall continue in effect.
12. CHANGES TO THESE TERMS
We may update these Terms from time to time to reflect changes in our practices, technology, legal requirements, or other factors. We will notify you of any material changes by: posting the updated Terms on our website; sending an email to your registered address; or displaying a notice within the Service. The effective date at the top of this document indicates when the Terms were last revised. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Service.
13. GOVERNING LAW AND DISPUTE RESOLUTION
13.1 Governing Law
These Terms and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of England and Wales.
13.2 Jurisdiction
The courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms. However, if you are a consumer resident in another part of the United Kingdom or in the European Union, you may bring proceedings in your local courts, and nothing in these Terms affects your statutory rights to bring proceedings in the courts of your country of residence.
13.3 Alternative Dispute Resolution
If you are a consumer in the EU, you may also be able to use the European Commission’s Online Dispute Resolution platform (https://ec.europa.eu/consumers/odr) or refer disputes to an approved ADR provider. We encourage you to contact us first at info@torabisignals.com to resolve any complaints.
14. GENERAL PROVISIONS
14.1 Entire Agreement
These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and TorabiSignals regarding the Service and supersede all prior agreements, understandings, and communications.
14.2 Severability
Suppose any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction. In that case, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, shall be severed from these Terms. The remaining provisions shall continue in full force and effect.
14.3 Waiver
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by us.
14.4 Assignment
You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations under these Terms to any affiliate or in connection with a merger, acquisition, or sale of assets, provided the assignee agrees to be bound by these Terms.
14.5 Third-Party Rights
Unless expressly stated otherwise, these Terms do not give rise to any rights under the Contracts (Rights of Third Parties) Act 1999 to enforce any term of these Terms. However, our affiliates, officers, directors, and employees may enforce provisions of these Terms that are expressed to be for their benefit.
14.6 Force Majeure
We shall not be liable for any failure or delay in performing our obligations under these Terms where such failure or delay results from circumstances beyond our reasonable control, including but not limited to: acts of God, natural disasters, or severe weather; pandemic, epidemic, or public health emergency; war, terrorism, or civil unrest; government action or regulatory change; power failure or telecommunications failure; cyberattack or security breach beyond our reasonable prevention capabilities; or failure of third-party service providers.
15. ADDITIONAL TERMS FOR HOSPITAL AND ENTERPRISE USERS
15.1 Applicability
This Section 15 applies only to hospitals, healthcare organisations, and other business entities that have entered into a separate enterprise agreement with us (“Enterprise Users”). Where there is a conflict between this Section 15 and the rest of these Terms, this Section 15 shall prevail for Enterprise Users.
15.2 Data Processing Agreement
Enterprise Users may be required to execute a separate Data Processing Agreement as applicable to comply with UK GDPR and EU GDPR requirements when processing data on behalf of their patients or clients.
15.3 Service Level Agreement
Enterprise Users receive enhanced service levels as specified in their enterprise agreement, which may include: guaranteed uptime of 99.7% or higher; priority support response times; dedicated account management; custom integration support; and enhanced security features and audit capabilities. Pricing and service level details are available on the enterprise pricing page within the dashboard.
15.4 Multi-Tenancy and Data Isolation
Enterprise Users benefit from dedicated tenant isolation, ensuring that any saved analysis data is segregated from other organisations. We implement row-level security and schema-based isolation. However, consistent with our data minimisation approach, we do not store raw signal data even for enterprise clients — only analysis results that users choose to save.
